These Terms of Service ("Terms") govern your access to and use of the website operated by Cleared by Kite, Inc. ("Cleared by Kite," "we," "us," or "our") and any services offered through that website. By accessing or using the website or our services, you agree to be bound by these Terms.

1. Description of Service

Cleared by Kite is developing financial services for the U.S. mortgage origination market, including identity and information verification services and related infrastructure. Our services are currently in pre-launch development. Public availability is expected in late 2026. Service features, pricing, and availability are subject to change.

2. Eligibility

To use our services when they become available, you must be at least 18 years of age and a legal resident of the United States. You must have the legal authority to enter into these Terms on your own behalf or on behalf of any entity for which you are acting.

3. Accounts

Certain features of our services may require an account. If you create an account, you agree to provide accurate, current, and complete information, maintain the security of your account credentials, promptly notify us of any unauthorized access, and be responsible for all activity occurring under your account.

4. Permitted Use

You agree to use our website and services only for lawful purposes and in accordance with these Terms. You will not:

• Use our services to commit fraud, misrepresent information, or impersonate another person
• Submit information about another person without proper authorization
• Attempt to interfere with, disrupt, or compromise the integrity of our services
• Reverse engineer, decompile, or attempt to extract source code or underlying data structures

5. Service Authorization and Verification

When you use our services, you authorize Cleared by Kite and our verification partners — including Plaid Inc., Truework, Inc., Argyle Systems Inc., Persona Identities, Inc., and the consumer reporting agencies Equifax, Experian, and TransUnion — to access, collect, and verify the information necessary to provide the services to you. You represent that all information you submit is accurate and complete and that you have the authority to authorize its verification.

Information verified through our services reflects the data available at the time of verification. When you direct us to share verified information with a third party such as a mortgage lender, you authorize that third party to rely on the shared information for the limited purpose stated in your authorization.

6. Third-Party Services

Our services rely on third-party data providers and infrastructure. Your use of our services is also subject to the terms and policies of those providers. We are not responsible for the practices or content of third-party services, and inclusion of a third-party reference in our services does not imply endorsement.

7. Fees

If we charge fees for our services, the fees will be disclosed to you before any charge. You are responsible for all applicable taxes and for keeping any payment information current.

8. Intellectual Property

All content, trademarks, logos, designs, and software on our website and in our services are owned by or licensed to Cleared by Kite and are protected by intellectual property laws. Nothing in these Terms grants you any rights in our intellectual property except a limited, non-exclusive, non-transferable, revocable license to access and use our services in accordance with these Terms.

9. Disclaimer of Warranties

Our website and services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or secure. We do not guarantee any particular outcome with any third party, including loan approval, lender acceptance, or any other result.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Cleared by Kite and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of our website or services. Our total aggregate liability for any claims arising out of or relating to these Terms or our services shall not exceed the greater of (a) the fees you have paid us in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).

You agree to indemnify, defend, and hold harmless Cleared by Kite and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of our services, your breach of these Terms, or your violation of any law or third-party right.

We may suspend or terminate your access to our website or services at any time, with or without notice, for any reason, including suspected violation of these Terms. You may stop using our services at any time. Provisions of these Terms that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) shall so survive.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or our services shall be resolved in the state or federal courts located in Delaware, and you consent to the exclusive jurisdiction and venue of those courts.

We may revise these Terms from time to time. Material changes will be communicated through our website or by other reasonable means. Continued use of our services after the effective date of any revised Terms constitutes acceptance of the revised Terms.
